BidBud Terms of Service

Welcome to BidBud. These Terms of Service ("Terms") govern your access to and use of the BidBud platform, website, and services (collectively, the "Service") operated by BidBud ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms.

1. Service Description

BidBud is an AI-powered construction takeoff platform that extracts insulation quantities from architectural blueprint PDFs. The Service includes:

  • (a) Residential Estimates: Free estimates generated from property address and service type, intended for bidding purposes.
  • (b) Commercial Takeoffs: AI-powered quantity takeoffs from uploaded architectural blueprint PDFs, available for purchase on a per-takeoff credit basis.
  • (c) Reports and Exports: Branded PDF reports and Excel exports of takeoff results.
  • (d) AI Verification: Multi-pass verification of extracted quantities with confidence scoring.

2. Estimates, Accuracy, and Intended Use

2.1 Estimates Are Not Guarantees

All quantities, measurements, and calculations provided by BidBud are estimates generated by artificial intelligence. They are intended to support your bidding process and are not a substitute for professional manual takeoffs, field verification, or the judgment of a licensed contractor or estimator.

2.2 Bidding Purpose

BidBud estimates are designed to help contractors determine whether a project is worth pursuing and to prepare competitive bids. They are not intended to be used as final quantities for material purchasing, contract pricing, or construction without independent verification.

2.3 Safety Margin

The Service includes a configurable safety margin (default 5%) applied to estimated quantities. This margin is intended to reduce the risk of underbidding but does not guarantee that actual quantities will fall within the estimated range.

2.4 Confidence Scoring

BidBud assigns confidence scores to its estimates and flags items where the AI has lower certainty. These scores are informational and reflect the AI system's self-assessment. They do not constitute a warranty of accuracy.

2.5 Verification Responsibility

You are solely responsible for verifying all quantities before relying on them for material purchases, subcontractor agreements, or binding contract prices. We strongly recommend performing a manual takeoff or field verification on any project you win before ordering materials.

3. Accounts and Credits

3.1 Account Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Credit System

Commercial takeoffs are purchased using credits. One credit equals one takeoff. Credits are available in packs as listed on our pricing page. Pricing is subject to change with reasonable notice.

3.3 Credit Expiration

Credits do not expire. Once purchased, credits remain available in your account until used.

3.4 Refunds

Because each takeoff consumes computational resources upon processing, credits that have been used to run a takeoff are non-refundable. Unused credits may be refunded within 30 days of purchase at our discretion. If a takeoff fails to process due to a system error on our end, the credit will be restored to your account.

4. Uploaded Documents and Data

4.1 Your Documents

You retain all ownership rights to the architectural blueprints, drawings, and other documents you upload to the Service ("Your Documents"). By uploading, you grant us a limited, non-exclusive license to process Your Documents solely for the purpose of providing the Service to you.

4.2 Confidentiality

We treat Your Documents as confidential. We will not share, sell, or distribute Your Documents to third parties. Your Documents may be transmitted to third-party AI providers (such as Anthropic and OpenAI) for processing. These providers are bound by their own data handling policies, which restrict the use of API-submitted data for model training.

4.3 Data Retention

Your Documents and takeoff results are stored in your account for your continued access. You may delete Your Documents and associated data at any time. Upon account deletion, we will remove Your Documents and associated data within 30 days.

4.4 Authorization

You represent and warrant that you have the right to upload and process any documents you submit to the Service. You will not upload documents that you do not have authorization to use or that contain information you are legally prohibited from sharing.

5. Acceptable Use

You agree not to:

  • (a) Use the Service for any unlawful purpose.
  • (b) Upload documents containing malware, viruses, or malicious code.
  • (c) Attempt to reverse engineer, decompile, or extract the AI models, prompts, or processing logic used by the Service.
  • (d) Resell, sublicense, or redistribute takeoff results as a competing service.
  • (e) Interfere with or disrupt the Service or its infrastructure.
  • (f) Misrepresent BidBud estimates as certified, stamped, or professionally guaranteed takeoffs.

6. Intellectual Property

6.1 Our Property

The Service, including its AI models, processing logic, measurement protocols, prompts, software, design, and branding, is owned by BidBud and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

6.2 Takeoff Results

The takeoff reports and data generated by the Service from Your Documents are yours to use for your business purposes, including incorporating them into bids, proposals, and internal estimates.

7. Limitation of Liability

7.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

7.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDBUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • (a) Loss of profits, revenue, or business opportunities;
  • (b) Costs of procurement of substitute goods or services;
  • (c) Material over-ordering or under-ordering based on estimated quantities;
  • (d) Losses resulting from bids submitted using BidBud estimates;
  • (e) Any other damages arising from the use or inability to use the Service.

7.3 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO BIDBUD IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7.4 Acknowledgment of Risk

You acknowledge that construction estimating inherently involves uncertainty and that no takeoff method - manual or automated - produces perfectly accurate results in all cases. You accept the risk that estimates may differ from actual field conditions and agree that such differences are not grounds for a claim against BidBud.

8. Indemnification

You agree to indemnify, defend, and hold harmless BidBud and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • (a) Your use of the Service;
  • (b) Your reliance on BidBud estimates without independent verification;
  • (c) Your violation of these Terms;
  • (d) Your violation of any applicable law or regulation or the rights of any third party.

9. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may close your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Unused credits will be handled in accordance with Section 3.4.

10. Modifications to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the changes taking effect. Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those changes.

11. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Maryland. You agree to submit to the personal jurisdiction of such courts.

12. Miscellaneous

12.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BidBud regarding the Service.

12.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

12.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
